Terms and conditions

This Influencer Agreement (hereafter referred to as "Agreement") is entered into this (insert date) day of (insert month), (insert year), by and between the Advertiser [Advertiser.FirstName] [Advertiser.LastName] and the Influencer [Influencer.FirstName][Influencer.LastName].

The Advertiser and Influencer agree:

Appointment

The Advertiser would like the Influencer's assistance in promoting / offering / selling the Advertiser's products via their social media accounts. The Advertiser appoints the Influencer as its representative on a non-exclusive, non-employee basis to endorse and promote its services to the target audience. The Advertiser shall provide the necessary content and briefing materials to enable the Influencer to perform the influencer marketing services.

Request data from previous campaigns to validate an Influencer’s legitimacy before you hire them. Look for details documenting follower growth, audience profiles, and average reach.

Term

Content requirements

This Agreement is for a (insert number) month contract that will begin on (MM/DD/YYYY) and will end on (MM/DD/YYYY). The agreement shall automatically renew for additional (insert number) month terms after that unless either party provides thirty days prior written notice of its intention of nonrenewal.

The Influencer will deliver (insert number) posts on Facebook, Instagram, and Twitter on behalf of [Advertiser.Company], according to the delivery schedule specified by the Advertiser. The Influencer agrees to create original content which is respectful, honest, and factual and further agrees that the content will be compliant with the terms and conditions of the relevant social media platforms. The Advertiser has a maximum of (insert number) days to request additional revisions and/or amendments per this Section.

Competitors

Confidentiality and exclusivity

The Influencer agrees to avoid mentioning the following agreed-upon competitors of [Advertiser.Company] in all social media posts, blogs, and email newsletters during the course of this agreement:

1.Competitor 1

2. Competitor 2

3. Competitor 3

4. Competitor 4

5. Competitor 5

The Influencer acknowledges and agrees that this relationship is exclusive and that during the tenure of this contract, and for a three-month term afterwards, the Influencer will not undertake influencer marketing for a competitor in the same vertical as the Advertiser.

Further, the Influencer agrees that any information emanating from the Advertiser's business in any form, and any strategies, technology, alliances, or contacts are "Confidential and Proprietary Information." Finally, the Influencer agrees they will not, during or after the term of this agreement, duplicate or disclose any Confidential and Proprietary Information to anyone without prior approval from the Advertiser.

An exclusivity clause prevents the Influencer from promoting any other related brand, resulting in potential lost revenue on their end. Often, the Influencer will charge a higher premium to compensate for that loss. How much depends on how demanding your exclusivity needs are.

Influencer marketing is all about visuals! Now is the time to let them know if you have a specific call to action or visual that you’d like to include! Include examples of what you want your campaign to look like with a mood board and content samples, so the Influencer knows exactly what you’re expecting in the campaign.

Cancellation

Compensation

Either party may terminate this agreement upon (insert number) days prior written notice if the other party breaches this agreement. If the Influencer has violated this agreement, the Advertiser may immediately suspend, limit or terminate the Influencer's access to any Advertiser account.

Further, the Advertiser may instruct the Influencer to cease all promotional activities or make clarifying statements, and the Influencer shall immediately comply. Either party may terminate this agreement at any time without cause upon thirty days prior written notice to the other party.

The Advertiser shall pay the Influencer the agreed upon amount. This includes any approved bonus incentives if targets are met. The Influencer will otherwise perform the services at their own expense, using their resources and equipment.

Payment can be made by PayPal or check/money order to the address given by the Influencer. Payments will be due (insert number) days after the agreed invoice date. The Influencer is retained as an independent contractor of the Advertiser and is responsible for paying all taxes arising out of the Influencer's performance of services.

Compliance with FTC guidelines

It is the Influencer's responsibility to comply with the Federal Trade Commission's (FTC) Endorsement Guides. When publishing content about the Advertiser's products or services, the Influencer must disclose their "material connection" with the Advertiser, including the fact that the Influencer received payment, including experiences or product samples.

The above disclosure should be clear and prominent and displayed near any statements that the Influencer makes about the Advertiser or the Advertiser's products or services. Please note that this disclosure is required regardless of any space limitations of the medium (e.g., Twitter), where the disclosure can be made via Hashtags, e.g., #sponsored.

The Influencer's statements should always reflect the Influencer's honest and truthful opinions and actual experiences. The Influencer should only share factual information about the Advertiser or the Advertiser's products that the Influencer knows for sure are accurate and can be verified.

Both Advertisers and Influencers can face penalties, fines, and legal fees for violating FTC regulations.
