This Sublease Agreement ("Sublease") is entered into on this (Date of Execution) (the "Effective Date") by and between the following parties:

Sublessor

The Sublessee acknowledges that they have had the opportunity to inspect the Subleased Premises and that the condition of the Subleased Premises is acceptable to them as of the Commencement Date of this Sublease Agreement.

The Sublessor makes no representations or warranties regarding the condition, habitability, suitability, or fitness of the Subleased Premises for any particular purpose except as expressly provided for in this Sublease Agreement or Master Lease.

Exclusive Use

The Sublessor hereby grants the Sublessee the exclusive right to occupy and use the Subleased Premises for the purpose of conducting (Specify the specific permitted use or business activity) and for no other purpose without the prior written consent of the Sublessor.

Compliance with Master Lease

The Sublessee acknowledges that the Subleased Premises are subject to the terms and conditions of the original lease agreement, hereinafter referred to as the "Master Lease," dated (Date of Execution of Master Lease), entered into between [Landlord.FirstName][Landlord.LastName], as the landlord, and [Sublessor.FirstName][Sublessor.LastName], as the tenant.

The Sublessee shall be bound by and comply with all terms and provisions of the Master Lease that apply to the Subleased Premises.

Lease Terms

Commencement Date

The "Commencement Date" of this Sublease Agreement shall be the date on which the Sublessee takes possession of the Subleased Premises and commences its use and occupancy, which is currently anticipated to be (Insert Date).

Termination Date

Termination by Sublessee.

The Sublessee may terminate this Sublease Agreement by providing the Sublessor with written notice of termination at least 30 days in advance of the intended termination date.

Termination of Master Lease

Termination by Master Landlord.

The Sublessee shall vacate the Subleased Premises in accordance with the terms of the Master Lease. The Sublessee shall have no claim against the Sublessor or the Master Landlord as a result of the termination of this Sublease Agreement due to Master Lease termination, except as expressly provided in Master Lease or as required by applicable law.

Eviction by Master Landlord.

If the Master Landlord exercises any rights or remedies under the Master Lease that result in the eviction of the Sublessee from the Subleased Premises, this Sublease Agreement shall terminate immediately. The Sublessee shall have no further rights or claims against the Sublessor except as expressly provided in the Master Lease or as required by applicable law.

Rent and Payment Terms

Rent Amount

The Sublessee shall pay to the Sublessor a monthly rent amount of (Insert Rent Amount) for the Subleased Premises for the duration of this Sublease Agreement.

Payment Schedule

The rent shall be due on the (Insert Due Date) of each month during the term of this Sublease Agreement. The rent shall be paid in accordance with the following schedule.

The Sublessee shall ensure that payments are made in a manner that provides a clear record of payment, such as by check, electronic bank transfer, or other traceable means of payment.

Late Fees

The Sublessee acknowledges that, in accordance with Massachusetts law, the Sublessor may charge late fees for any late payment, even if the payment is delayed by only one day after the due date. In the event that the Sublessee fails to make the rent payment within (Insert Number of Days) days after the due date, a late fee of (Insert Late Fee Amount) shall be imposed for each day that the rent remains unpaid. The Sublessee shall be responsible for the payment of late fees in addition to the overdue rent.

Security Deposit and Payments

The Sublessee shall provide a security deposit in the amount of (Insert Security Deposit Amount) upon the execution of this sublease agreement. The security deposit is intended to cover the cost of any damage to the Subleased Premises beyond normal wear and tear and any unpaid rent or other charges that may arise under this Sublease Agreement.

Limitation on Security Deposit

In addition to the security deposit, the Sublessee shall provide to the Sublessor the last month's rent in the amount of (Insert Last Month's Rent Amount). This amount is intended to cover the rent for the last month of the Sublease Agreement, which may not necessarily coincide with the last month of the lease.

In the event that the Sublessee changes or replaces the lock and key during the term of this Sublease Agreement, the Sublessee shall promptly provide the Sublessor with a copy of the new key or a code to access the new lock.

Return of Security Deposit

The Sublessor shall return the security deposit, less any lawful deductions, within thirty (30) days after the termination of this Sublease Agreement, as required by Massachusetts law. The Sublessee shall provide the Sublessor with a forwarding address for the return of the security deposit.

Utilities and Additional Charges

The sublessee shall be responsible for the payment of all utilities and services, including but not limited to electricity, gas, water, sewer, trash removal, and any other utilities specific to the leased premises.

The sublessee shall be responsible for any maintenance fees or charges associated with the upkeep of the leased premises unless otherwise agreed upon in writing by the sublessor.

Rent Increases

The Sublessor reserves the right to increase the rent during the term of this Sublease Agreement, provided that the Sublessee is given sufficient notice as required by Massachusetts law. The Sublessor shall provide written notice of any proposed rent increase to the Sublessee. The Sublessee will have to accept and sign off on the new Sublease Agreement in case of a rent increase.

Maintenance and Repairs

The Sublessee shall be responsible for any damage to the interior beyond normal wear and tear.

The Sublessee shall not make any alterations or improvements to the Subleased Premises without obtaining prior written consent from the Sublessor, which consent may be granted or denied at the Sublessor's sole discretion.

The Sublessor shall be responsible for the maintenance and repair of the structural elements of the building, common areas, and any shared utility services. The Sublessee shall have no obligations regarding the maintenance of these areas except as otherwise provided in the Master Lease.

Upon the termination of this Sublease Agreement, the Sublessee shall surrender the Subleased Premises to the Sublessor in the same condition as when initially subleased, ordinary wear and tear excepted. The Sublessee shall remove any alterations or improvements that were made with the Sublessor's written consent and repair any damage caused by such removal.

Governing Law and Jurisdiction

This Sublease Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.

Any legal action, suit, or proceeding arising from or relating to this Sublease Agreement shall be instituted exclusively in the state or federal courts in the (County) County, Massachusetts. The parties hereby consent to the personal jurisdiction of such courts and waive any objection to the venue in such courts.
