1. Scope of Services

The Contractor agrees to provide mental health therapy services as described below:

Description of Services

The Contractor shall provide mental health therapy services including, but not limited to, individual, group, family, and couples therapy, conducted under the highest professional standards and in compliance with all applicable laws and ethical guidelines.

Client Engagement

Responsible for assessing, diagnosing, planning, and implementing therapeutic interventions for clients, maintaining confidentiality, and obtaining informed consent for treatment.

Professional Conduct

Services must be conducted professionally, adhering to the ethical guidelines of (relevant professional body).

Continuity of Care

Ensuring continuity of care for clients, including timely documentation and coordination with other health care professionals as necessary.

Crisis Management

Capable of identifying, responding to, and managing crisis situations with clients, including risk assessments and referrals to emergency services when necessary.

Record Keeping and Reporting

Maintaining accurate and up-to-date client records in compliance with privacy laws and regulations.

Professional Development

Engaging in ongoing professional development, including continuing education requirements.

Compliance with Laws and Policies

Complying with all federal, state, and local laws and regulations applicable to providing mental health services.

Use of the Private Practice Resources

Use the Private Practice's facilities, equipment, and resources necessary to perform the services, as agreed upon in this Agreement.

Availability and Scheduling

Providing services during agreed times and locations and maintaining reasonable availability for client needs.

Collaboration and Communication

Collaborate with the Private Practice's staff and other professionals for client benefit and participate in regular meetings or communications regarding client care.

2. Compensation

The Private Practice shall compensate the Contractor as outlined below:

Compensation Structure and Schedule

The Contractor shall be compensated at an (hourly/session-based/project-based) rate for services rendered. The specific services and their corresponding rates are as follows: ($X per hour/session or a fixed amount for a particular project).

Agreed Upon Times for Service Provision

The Contractor and the Private Practice will mutually agree upon the specific times the services will be provided. These agreed times are to be documented below:

Invoicing and Payment Schedule

4. Confidentiality and Privacy

The Contractor commits to maintaining the strictest confidentiality of all client and Private Practice information. This confidence includes but is not limited to, client health data, treatment plans, and personal details.

Use of Information

The Contractor agrees to use client and Private Practice information solely for the purposes of this Agreement.

Prohibition of Disclosure

Confidential information may not be disclosed to third parties unless required by law or necessary for service provision, with adequate confidentiality measures enforced.

Breach Consequences

Unauthorised disclosure may be deemed a breach of this Agreement and may lead to penalties.

Post-Termination Obligations

Upon termination, the Contractor must return or destroy all confidential information, barring legal obligations to retain it.

Reporting Requirement

Immediate reporting to the Private Practice is required for any suspected or actual confidentiality breaches.

5. Ownership of Intellectual Property

Creation and Use

Any materials, documents, or intellectual property created by the Contractor while providing services under this Agreement shall be the exclusive property of the Private Practice.

Rights Transfer

Upon creation, all rights, titles, and interests in such intellectual property, including any copies or derivatives, will automatically transfer to the Private Practice.

6. Licensure, Insurance, and Documentation

Licensure Compliance

The Contractor must maintain current professional licensure as required to provide mental health services.

Insurance Requirements

The Contractor is responsible for holding valid insurance, including liability insurance appropriate for the scope of services provided.

Accurate Documentation

The Contractor shall maintain accurate and comprehensive records of services rendered in compliance with applicable laws and professional standards.

7. Non-Solicitation and Fair Competition

Non-Solicitation

The Contractor agrees not to solicit or entice away clients or employees of the Private Practice during the term of this Agreement and for a reasonable period of (x months/year) following its termination.

Fair Competition

Both parties acknowledge the right to engage in and promote their independent business activities, provided these activities do not involve direct solicitation or misuse of the other party's confidential information or client relationships.

8. Termination of Agreement

In recognition of the potential need for the dissolution of this contractual relationship, either party may initiate termination of this Agreement under the following stipulated terms and conditions:

Notice Period

Either party may terminate this Agreement by providing (specified notice period (X-days)) written notice to the other party.

Immediate Termination

Termination can occur immediately under certain conditions, such as breach of contract, unethical behavior, or loss of licensure.

Final Payments and Obligations

The Private Practice will pay outstanding payments due to the Contractor for services rendered upon termination. The Contractor is required to complete any pending documentation or client notes.

Return of Property

The Contractor agrees to return any property or materials from the Private Practice.

9. Amendment and Governing Law

Amendments

Both parties must write and sign any modifications or amendments to this Contract.

Governing Law

This Agreement shall be governed by and construed under the laws of (specify jurisdiction).

10. Entire Agreement

This document and its exhibits represent the agreement between the parties and supersede any previous agreements.
