Authorization

[Client.FirstName][Client.LastName] hereby certifies that they have the legal right to authorize repairs for the above listed vehicle, either through legal ownership, lease rights, or written authorization from the vehicle's owner.

[Client.FirstName][Client.LastName] authorizes [Sender.Company] to take the steps necessary to perform the repairs listed in this contract, including any necessary on-road vehicle testing.

Payment

[Client.FirstName][Client.LastName] agrees to pay in full for the services described above upon successful completion of all listed auto repairs prior to picking up their vehicle from [Sender.Company].

[Client.FirstName][Client.LastName] agrees to pay for all parts, labor, fees, taxes, and other charges incurred during the completion of any repairs authorized by [Client.FirstName][Client.LastName] in writing.

[Sender.Company] will provide an invoice upon completion of repairs detailing all fees, and listing a final outstanding balance for payment. Payment must be made in full before the vehicle will be returned to [Client.FirstName][Client.LastName].

Term

The term of this Agreement will begin on the Effective Date of this Agreement and will remain in full force and effect until the completion of the services, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.

Fees

[Sender.Company] will charge the Client a flat fee of ($Amount) for the Services. Any additional Service that may need to be performed will be agreed upon between the Parties and incur a mutually accepted fee. The Client will be notified via an invoice when the Services that they have requested are complete. Invoices submitted by [Sender.Company] to the Client are due upon receipt.

In the event that this Agreement is terminated by the Client prior to completion of the Services but where the Services have been partially performed, [Sender.Company] will be entitled to pro rata payment of the Compensation to the date of termination provided that there has been no breach of contract on the part of [Sender.Company].

Repair Process

[Sender.Company]'s repair process progresses through three stages as follows:

1. Vehicle Analysis

In this stage, technicians evaluate the vehicle and create a report listing all necessary repairs. This report details any damage or outstanding maintenance required, and includes expected repair costs. This report has been delivered to [Client.FirstName][Client.LastName], and was used to create the repair description and cost itemization in this Contract.

2. Additional Damage

During the repair process, additional problems may be uncovered. In the event that [Sender.Company] technicians discover the need for repairs outside of those listed in this contract, work on the vehicle will cease, and written notification of required repairs will be sent to [Client.FirstName][Client.LastName]. [Sender.Company] will not perform any repairs outside of those listed in this contract without prior written authorization from [Client.FirstName][Client.LastName].

3. Manufacturer Warranty

To maintain the warranty's validity, several automakers demand that only OEM components be used for any type of repairs. Use of unauthorized components might breach a car's warranty. In consideration of the above risks, [Sender.Company] shall not use any non-OEM parts for repairs unless those parts are approved for use by [Client.FirstName][Client.LastName]. It is advisable for [Client.FirstName][Client.LastName] to take the aforementioned risks into account when choosing parts for necessary repairs.While [Client.FirstName][Client.LastName] has the right to select which parts should be used for the repairs, [Sender.Company] also reserves the right to evaluate the consequences of their usage and refuse to make repairs with those parts if they are considered inadequate or unsafe.

4. Labor Warranty

[Sender.Company] shall provide a limited warranty to [Client.FirstName][Client.LastName] for the repairs performed under the terms of this Contract. Following the conclusion of all the above repairs, this guarantee will remain in effect for a term of (number of days, months or years). The [Sender.Company] warrants that, at its own cost and expense, it will make any repairs made in connection with this Contract that are found to be defective during the warranty term. This labor warranty does not cover any components used in repairs; it only covers employment costs.

5. Insurer Estimate

In the event that an insurance claim is filed by [Client.FirstName][Client.LastName] related to the repairs performed, [Sender.Company] will create an insurance estimate for submission to the insurer. This estimate is intended for internal use by the insurer for purposes of validating the insurance claim and reserving funds for payment at the conclusion of repair services.

Communication with Insurers

[Client.FirstName][Client.LastName] acknowledges that [Sender.Company] has no formal relationship or obligation to any insurer. [Sender.Company]'s sole obligation is to [Client.FirstName][Client.LastName], and performing safe, timely, and complete repairs is the first priority.

[Client.FirstName][Client.LastName] acknowledges that [Sender.Company] is not obligated to communicate with or assist insurers or their agents, including accepting cost estimates from insurers or allowing their agents into shop facilities for any reason.

Non-OEM Parts

[Client.FirstName][Client.LastName] acknowledges that any repairs using "aftermarket parts" (parts not made by the vehicle's manufacturer) may lead to the following:

  1. Lease or Finance Violation: Some lease and finance contracts require the purchaser or lessee to make repairs using only original equipment manufacturer parts ("OEM Parts"). Aftermarket parts used in repairs may violate these contracts.

  2. Decrease in Value: Repairs made using aftermarket parts may lead to increased depreciation and lost vehicle value.

  3. Manufacturer Warranty: Some vehicle manufacturers require that all repairs be made using only OEM parts. Use of aftermarket parts may void vehicle warranties.

In recognition of the above risks, [Sender.Company] shall not use any parts for repairs unless those parts are approved for use by [Client.FirstName][Client.LastName]. It is advised that [Client.FirstName][Client.LastName] take the above risks into account when choosing parts for necessary repairs.

Arbitration

In the event of any dispute arising in and out of this Contract between the Parties, it shall be resolved by Arbitration. There shall be (Number of Arbitrators) Arbitrators which shall be appointed by [Sender.Company]. The venue of Arbitration shall be (Venue/Location of Arbitration) occurring in [Sender.Country], [Sender.State]. The Arbitrators' decision shall be final and will be binding to both the Parties.

Binding Contract

This contract shall be considered binding to both parties and their assigns or successors, including subsequent title holders for the vehicle being repaired.

Additional Services

No services outside of those described in this auto repair contract will be performed by [Sender.Company] without prior written approval from [Client.FirstName][Client.LastName].

Timeline

The timeline for the proposed repairs will be as follows. This is an estimated timeline and may go through delays depending on the availability of parts and labor for the vehicle. On the other hand, the timeline may also be moved up if repair work on the car gets done ahead of schedule. The timeline is detailed in the table below:

1. Photography

The Contract warrants [Sender.Company] using photography to document the condition of the vehicle to be repaired. This is in order to fully clarify the vehicle’s condition prior to any repair services taking place, as well as establish vehicle condition once services have been performed and completed.

2. Photographs and Advertising

With Client’s written permission, [Sender.Company] is granted the right to take promotional pictures of Client’s vehicle and use them for advertising and for other digital marketing purposes. [Sender.Company] is granted this permission with the understanding that, at no time or under any circumstance, will [Sender.Company] reveal any identifying or personal data of Client with any photos used in any marketing campaigns (e.g., the license plate of the Client vehicle). The Client may also take pictures of the work on Client’s vehicle while in progress and upon completion at [Sender.Company] as long as the photography in no way infringes upon [Sender.Company]’s rules, regulations and safety guidelines while Client’s vehicle is being repaired.

3. Warranty Maintenance

[Sender.Company] guarantees that all products and services it offers to customers are free from flaws and faults and appropriate for their intended function. [Sender.Company] is also responsible for any direct or consequential losses that arise as a result of any such flaws. Regardless of any other rights the Client may have, [Sender.Company] must quickly fix any problem tied to the repair work listed in this contract, should one arise within the allotted time of warranty.

4. Warranty Upkeep

The parts used in the auto repair will come with a standard limited warranty that covers any quality or construction flaws in line with the company's stated warranty as of the commencement date.

5. Automobile Liability

[Sender.Company] shall hold automobile liability insurance for personal injury and property injury at all points of time as during execution of the work under this Contract, which includes insurance for controlled, non-owned, and recruited vehicles, with insurance carriers conforming to the state of [Sender.State], where [Sender.Company] operates.

6. New Replacement Components

All hardware and software replacement and support components installed shall be OEM parts. If OEM parts are unavailable for any reason, certifiably comparable parts in reliability and performance will be used and will carry the same labor and parts warranty as expressed in this Contract.

7. Mediation

In case of any disputes arising amongst both Parties, they are to amicably resolve the issue, outside of courts, preferably through mediation with the help of an unbiased third party. If the outcome or settlement amount is not agreed upon by both Parties, or if the settlement terms are not agreed upon, either Party may then seek legal recourse in court under the jurisdiction of [Sender.Country], [Sender.State].

Amendment

This Contract may be modified or amended in writing if both Parties agree to and sign the amended portion of the Contract.

Entire Agreement

This Contract represents the entire legal agreement between [Sender.Company] and [Client.FirstName][Client.LastName]. No other promises or agreements outside of this Contract and subsequent repair authorizations shall be considered valid.

Penalty for Non-Payment

[Sender.Company] shall not be required to release the above listed vehicle until ​[Client.FirstName][Client.LastName] has made full payment for all services approved in writing and performed by [Sender.Company].

In the event that auto repair services rendered are not paid for within 30 days of completion, [Sender.Company] reserves the right to sell the vehicle to recover the costs incurred while performing approved auto repair services.
