Invoicing and Payment Procedures

Installment Schedule

The Service Provider shall adhere to a (specify timeframe) invoicing schedule for recurring costs associated with ongoing support activities.

Confidentiality, Indemnity, and Limitation of Liability

Indemnification

The Service Provider shall fully indemnify and defend Client regarding claims brought by third parties against Client arising from the Service Provider’s gross negligence or willful misconduct. Client retains the right to control its defense at the Service Provider's expense.

Warranty Disclaimer

Except as provided herein, the Service Provider disclaims all warranties, whether express, implied, or statutory, regarding the technology services, including any implied warranties of merchantability, title, non-infringement, and fitness for a particular purpose.

Limitation of Liability

In no event shall the Service Provider be liable under this proposal for consequential, incidental, indirect, exemplary, or special damages, including without limitation lost revenues and profits, even if such party has been advised of the possibility of such damages. The Service Provider's total liability under this proposal shall not exceed the fees paid during the twelve months preceding the liability-causing event.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of (insert jurisdiction), without regard to its conflict of law principles.
