Terms & Conditions

This marketing proposal is formally issued to [Client.Company] on behalf of [Sender.Company] with the following terms and conditions in mind.

Should [Client.Company] decide to move forward with this agreement, [Client.Company] understands and agrees to the following:

1. Independent Contractor

[Sender.Company] is an independent contractor. Both parties agree that [Sender.Company] is an independent contractor and is not an employee of [Client.Company]. As such, [Sender.Company] is excluded from the benefits, obligations, liabilities, and duties which are defined by the legalities of employment.

2. Fees

In consideration of the consulting services provided by [Sender.Company], [Client.Company] agrees to pay any and all specific fees upon completion of project milestones and upon project completion. If consulting services are commissioned on retainer, [Client.Company] agrees to pay all projected fees on the dates specified within the Scope of Work documentation or any superseding payment contract.

3. Expenses

[Sender.Company] shall not incur additional expenses on [Client.Company]’s behalf unless authorized in writing by [Client.Company] or specified elsewhere within the contracting agreement.

4. Term and Termination

Upon signing this proposal, [Client.Company] agrees to bring [Sender.Company] on board as a consultant for the periods specified within this marketing proposal.

While the duration of service may be extended if both parties agree, [Sender.Company] will plan to terminate service with [Client.Company] upon completion of the final deliverable unless otherwise specified.

Signoff & Acceptance

IN WITNESS WHEREOF, each of the parties has reviewed this marketing proposal and agree to the work, terms, and conditions listed herein.

Upon signing, each party will have 48 hours to reconsider and nullify this agreement before payment is transferred and work begins in accordance with the above-listed dates.
