Beta Terms & Conditions

By accepting these Beta Terms and Condition (“Beta Terms”) by (1) clicking a box indicating acceptance, (2) acknowledging acceptance of the Beta Terms  in a separate document referencing or incorporating the Beta Terms, or (3) participating in an Early Access Services (defined below) program or using an Early Access Services, the individual or legal entity (“Customer”) agrees that these Beta Terms and Conditions (“Beta Terms”) govern Customer’s use of Early Access Services and is effective as of the date of such acceptance (the “Effective Date”). “Early Access Services” means an application, feature, function or other technology that PandaDoc or its affiliate (i) has made available to Customer, (ii) has not made generally available to all PandaDoc customers, and (iii) has designated as pilot, beta, early access, limited release, developer preview, or another similar description. Any capitalized terms not defined herein are defined in PandaDoc’s Master Services Agreement available at https://www.pandadoc.com/legal/master-services-agreement/. 

  1. Right to Use. PandaDoc grants you a limited, non-exclusive, non-transferable, revocable license to access and use Early Access Services for the purposes permitted and described by PandaDoc subject to (a) the Beta Terms, (b) the Documentation applicable to the Early Access, and the agreement between PandaDoc and the Customer governing Customer’s use of PandaDoc’s Services (the “MSA”). Early Access Services are for evaluation purposes only, are provided as-is, are not supported, and may be subject to additional terms as set forth in supplemental exhibits. PandaDoc may modify the permitted use(s) of or suspend your access to Early Access Services at any time and for any reason.

  2. Customer Content. You grant PandaDoc a non-exclusive, transferable, worldwide, royalty-free, sublicensable right and license, to (i) use, copy, modify, create derivative works based upon, distribute, publicly display your Customer Content, and (ii) share your Customer Content with PandaDoc’s third-party service providers and business partners in connection with PandaDoc’s business purposes, including to provide, operate, maintain, and optimize Early Access Services and other PandaDoc Services. PandaDoc, and its third-party service providers and business partners, have the express right to analyze Customer Content using techniques involving artificial intelligence (“AI”) and machine learning (“ML”) technology in order to provide, operate, maintain, and optimize PandaDoc’s Early Access Services, Services, and future products and services. Any output from such AI or ML technology, including resulting models, will be deemed analytic data that is owned by PandaDoc.

  3. Ownership. Subject to the limited rights expressly granted under the Beta Terms, PandaDoc owns all right, title, and interest in and to Early Access Services and any related intellectual property rights therein; this includes, without limitation, (a) reports, data, assessments, analyses or compilations of Customer Content, collected by, derived from, created by or returned by the Early Access Services, including any derivative works thereof, (b) any improvements, design contributions or derivative works thereto, and (c) any knowledge or processes related thereto. ALL RIGHTS NOT EXPRESSLY GRANTED HEREUNDER ARE RESERVED TO PANDADOC.

  4. Disclaimer of Certain Obligations. PandaDoc has no obligation under these Beta Terms or otherwise to: (a) correct any bugs, defects, or errors in Early Access Services or to provide any support, maintenance services, service levels, or uptime guarantees for Early Access; (b) store, hold, export, return, or destroy any data or content after Early Access Services terminates; or (c) create, distribute, or otherwise offer a publicly available version of Early Access Services.

  5. Relationship To Other Agreements. These Beta Terms are applicable in addition to the MSA. To the extent that the Beta Terms conflict with any provisions of the MSA, the Beta Terms shall govern for purposes of Early Access Services functionality and use, and the MSA shall govern for purposes of generally released PandaDoc Services.

  6. Term. Beta Terms are effective on the Effective Date and will remain in effect unless terminated in accordance with Section 7 (Termination). Notwithstanding the foregoing, Customer’s right to use any Early Access Services will commence on the date PandaDoc makes such Early Access Service available to Customer, and will end on the earlier of (a) the date the applicable Early Access Service, or replacement for the particular Early Access Service becomes generally available, or (b) termination in accordance with Section 7 (Termination).

  7. Termination. Either party may terminate this Agreement at any time without cause upon thirty (30) days’ written notice to the other. Either party may terminate Customer’s right to use any Early Access Service by providing written notice (email acceptable) of such termination to the other party. Customer will immediately cease use of the Early Access Service upon the termination date, and if requested by PandaDoc in connection with any such termination, Customer will cooperate reasonably with PandaDoc to disable the Early Access Service.

  8. DISCLAIMER OF WARRANTIES.  EARLY ACCESS SERVICES MAY CONTAIN ERRORS OR BUGS AND ARE PROVIDED ON AN “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, WHTHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. PANDADOC DISCLAIMS ALL WARRANTIES FOR OR IN CONNECTION WITH EARLY ACCESS SERVICES, INCLUDING WITHOUT LIMITATION, WARRANTIES FOR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. PANDADOC DOES NOT WARRANT THAT EARLY ACCESS SERVICES WILL FUNCTION WITHOUT INTERRUPTION, ARE ERROR FREE, OR FREE OF MALICIOUS CODE. Early Access Services may contain bugs or errors. Any participation in or use of the Early Access Services is at Customer’s sole risk. Customer acknowledges that PandaDoc may discontinue the Early Access Services at any time in its sole discretion, and may never make an applicable generally accessible service available.

  9. LIMITATION OF LIABILITY.  THE TOTAL LIABILITY OF PANDADOC ARISING OUT OF OR RELATED TO THESE BETA TERMS SHALL NOT EXCEED FIVE HUNDRED ($500) US DOLLARS. PANDADOC’S SUPPLIERS AND LICENSORS SHALL HAVE NO LIABILITY HEREUNDER FOR DAMAGES OR OTHERWISE, AND IN NO EVENT SHALL PANDADOC OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA OR INFORMATION), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF PANDADOC OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS AND EXCLUSIONS OF LIABILITY AND DISCLAIMERS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES, AND PANDADOC WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT SUCH LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS.
